Welcome to Vibe Analytics and Vibe Panels. These Terms of Service (“Terms”) govern your use of our websites vibeanalytics.ai, vibeanalytics.com and vibepanels.com (“Sites”), operated by Vibe Analytics, Inc. (“Vibe Analytics,” “we,” “our,” or “us”).

By accessing or using our Sites, you agree to these Terms.

1. Eligibility

You must be:

• At least 18 years old, and

• A resident of the United States

to access or use our services. If you do not meet these criteria, you may not register or participate.

2. Account Responsibilities

You may need to create an account to use certain features. You agree to:

• Provide truthful, accurate information

• Keep your login credentials confidential

• Notify us of unauthorized account activity

We reserve the right to suspend or terminate accounts at our discretion.

3. Participation and Compensation

Panel participants may receive compensation based on participation criteria. Users must:

• Provide required tax information (e.g., W-9)

• Comply with participation rules

• Claim payments within applicable timeframes

We are not responsible for lost or forfeited payments due to user inaction or rule violations.

Vibe Coins

Panel participants may earn Vibe Coins, a points-based system used to track and reward participation in Vibe Panels.

• Earning & Value: VibeCoins are awarded based on participation criteria. 100 Vibe Coins = $1.00 USD. The number of coins awarded per activity may vary by test.

• Redemption & Disbursement: Users can request a disbursement once they have accumulated at least 2,000 Vibe Coins (equivalent to $20.00 USD). Disbursements may be made through methods offered by Vibe Analytics and are subject to change.

• No Cash Value: Vibe Coins have no inherent cash value and are not legal tender. They cannot be transferred, exchanged, or sold. Vibe Coins are only redeemable as specified by Vibe Analytics.

• Expiration & Forfeiture: VibeCoins may expire after 12 months of account inactivity, or be forfeited upon violation of these Terms or account termination.

• Taxes: All compensation earned through VibeCoins is subject to applicable federal, state, and local tax laws. You are responsible for reporting your earnings and providing required tax forms (e.g., IRS Form W-9). If cumulative earnings exceed IRS reporting thresholds, Vibe Analytics may issue a Form 1099.

4. Prohibited Uses

You agree that you will not:

• Violate any applicable laws or regulations

• Attempt to reverse-engineer, disrupt, or interfere with the Sites

• Misrepresent your identity or participation activity

• Use bots, automation, or artificial means to access the platform

• Record, screen capture, photograph, download, copy, reproduce, store, transmit, distribute, or otherwise retain any videos, advertisements, images, campaign materials, or other content presented through Vibe Panels

• Attempt to circumvent technical measures designed to prevent copying or unauthorized retention of content

• Share, disclose, publish, or discuss advertiser content presented through the platform with any third party

• Use any advertiser content for personal, commercial, or competitive purposes

Violation of this section may result in immediate account termination, forfeiture of compensation, and potential legal action.

5. Intellectual Property and Advertiser Content

All platform content, designs, trademarks, logos, software, and technology made available by Vibe Analytics are the property of Vibe Analytics or our licensors and are protected by applicable intellectual property laws.

Certain content presented through Vibe Panels, including advertisements, videos, campaign materials, brand assets, and related media (“Advertiser Content”), is owned by third-party advertisers and may be confidential, proprietary, or unreleased.

Panel participants are granted a limited, revocable, non-exclusive, non-transferable right to view Advertiser Content solely for the purpose of participating in authorized research activities on the platform.

No ownership rights, licenses, or other rights in Advertiser Content are granted to you. You have no legal authority to copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use Advertiser Content beyond viewing it within the platform as intended.

Unauthorized use of Advertiser Content may violate intellectual property, trade secret, and other applicable laws.

6. Disclaimer

The Sites are provided “as is.” We make no warranties about the accuracy or completeness of content or outcomes from campaigns.

7. Limitation of Liability

Vibe Analytics is not liable for indirect or consequential damages resulting from use of the Sites or services.

8. Legal Jurisdiction

These Terms are governed by the laws of the State of California. Any disputes will be resolved in state or federal courts located in San Francisco, California.

9. Updates to These Terms

We may revise these Terms at any time. Continued use of the Sites means you accept the revised Terms.

10. Consent to Data Use and Termination

By using the Sites, you consent to our collection and use of your data as described in our Privacy Policy.

We may suspend or terminate your access to the Sites or services at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct harmful to Vibe Analytics, other users, or third parties. You may also stop using the Sites at any time.

11. Indemnification

You agree to indemnify and hold harmless Vibe Analytics, its officers, employees, and partners from any claims, losses, or damages, including legal fees, arising from your use of the Sites, your violation of these Terms, or your violation of any rights of another party.
